Application has been made to HKSE for an extension of time to despatch the circular to the Company's shareholders on or before 29 March 2006. Reference is made to the announcement of the Company dated 14 February 2006 in respect of a proposed very substantial acquisition and connected transactions (the "Announcement"). Terms used herein shall have the same meaning as defined in the Announcement unless otherwise defined herein.

In accordance with Rule 14.38 and Rule 14A.49 of the Listing Rules, the Company is required to send a circular to the Shareholders within 21 days after the publication of the Announcement, which is 8 March 2006. Due to the complexity and the sheer size of the Entire Transactions as set out in the Announcement, additional time is required for the compilation of property valuation report, statement of indebtedness and working capital forecast in relation to the Group and the Acquired Companies in accordance with the Listing Rules for inclusion in the circular. Therefore, the Company has made an application to HKSE for an extension of time to despatch the circular to the Shareholders on or before 29 March 2006.
